1. Acceptance of Terms

By accessing or using GiftMinty ("Platform," "Service," or "we"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Platform.

These Terms constitute a legally binding agreement between you and GiftMinty Inc. ("Company," "we," "us," or "our").

2. Eligibility

To use GiftMinty, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws
• Not have been previously banned or suspended from the Platform

By using GiftMinty, you represent and warrant that you meet all eligibility requirements.

3. Account Registration

3.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password confidential and secure
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. We recommend using a strong, unique password and enabling all available security features.

3.3 One Account Per Person

Each user may only maintain one active account. Creating multiple accounts may result in suspension or termination of all associated accounts.

4. Marketplace Services

4.1 Platform Role

GiftMinty operates as a peer-to-peer (P2P) marketplace connecting buyers and sellers of gift cards. We are not a party to transactions between users. We provide:

• A platform for listing and discovering gift cards
• Escrow services to protect both parties
• Dispute resolution assistance
• Wallet services for managing funds

4.2 No Guarantee

We do not guarantee the quality, safety, legality, or availability of gift cards listed on the Platform. Users transact at their own risk.

4.3 Service Availability

We strive to maintain Platform availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue services at any time.

5. Transactions & Escrow

5.1 Escrow Protection

All transactions on GiftMinty are protected by our 24-hour escrow system:

• When a buyer purchases a gift card, funds are held in escrow
• The gift card code is delivered instantly to the buyer
• Buyers have 24 hours to verify the gift card and confirm receipt
• If confirmed, funds are released to the seller
• If a dispute is opened, funds remain in escrow pending resolution
• If no action is taken within 24 hours, funds are automatically released

5.2 Confirmation Requirement

Buyers are strongly encouraged to verify gift cards immediately upon receipt and confirm the transaction. Failure to report issues within the 24-hour window may limit dispute options.

5.3 Disputes

If a gift card is invalid, depleted, or does not match the listing, buyers may open a dispute within 24 hours. Our support team will review disputes and make a determination based on available evidence.

6. Wallet & Payments

6.1 Wallet Balance

Your GiftMinty wallet stores funds for transactions on the Platform. Wallet balances are not bank deposits and are not insured by any government agency.

6.2 Adding Funds

You may add funds to your wallet using approved payment methods. Deposits are subject to verification and may take time to process.

6.3 Withdrawals

You may withdraw available funds from your wallet subject to:

• Minimum withdrawal amounts
• Identity verification requirements
• Processing times (typically 1-5 business days)
• Any applicable fees

6.4 Fees

GiftMinty may charge fees for certain services, including but not limited to transaction fees, withdrawal fees, and currency conversion fees. All fees will be disclosed before you complete a transaction.

7. Seller Obligations

As a seller on GiftMinty, you agree to:

• List only legitimate, valid gift cards that you own
• Provide accurate descriptions, values, and conditions
• Ensure gift cards have not been redeemed, depleted, or expired
• Respond promptly to buyer inquiries and disputes
• Not engage in fraudulent or deceptive practices
• Comply with all applicable laws regarding gift card sales
• Maintain sufficient inventory to fulfill orders

Sellers are solely responsible for the validity and value of gift cards they list. Repeated issues with invalid cards may result in account suspension.

8. Buyer Obligations

As a buyer on GiftMinty, you agree to:

• Verify gift cards promptly upon receipt
• Report any issues within the 24-hour escrow period
• Provide accurate information when opening disputes
• Not abuse the dispute system with false claims
• Use gift cards only for their intended purpose
• Maintain sufficient wallet balance for purchases

9. Prohibited Activities

You may not use GiftMinty to:

• Sell stolen, fraudulent, or illegally obtained gift cards
• Launder money or engage in illegal financial activities
• Circumvent security measures or exploit vulnerabilities
• Create multiple accounts or impersonate others
• Manipulate reviews, ratings, or transaction history
• Harass, threaten, or abuse other users
• Spam or send unsolicited communications
• Scrape, crawl, or collect data without authorization
• Interfere with Platform operations
• Violate any applicable laws or regulations

Violation of these prohibitions may result in immediate account termination and legal action.

10. Intellectual Property

10.1 GiftMinty Content

All content on the Platform, including logos, designs, text, graphics, and software, is owned by GiftMinty or its licensors and protected by intellectual property laws.

10.2 User Content

By posting content on GiftMinty, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with our services.

10.3 Trademark Notice

Gift card brands displayed on the Platform are trademarks of their respective owners. GiftMinty is not affiliated with or endorsed by these brand owners.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

• Merchantability and fitness for a particular purpose
• Accuracy, reliability, or completeness of content
• Uninterrupted or error-free operation
• Security from unauthorized access
• Results obtained from using the Platform

GiftMinty does not guarantee the validity, value, or authenticity of gift cards listed by sellers.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIFTMINTY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Our total liability for any claim arising from your use of the Platform shall not exceed the greater of:

• The amount you paid to GiftMinty in the 12 months preceding the claim, or
• $100 USD

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless GiftMinty and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit to the Platform
• Your transactions with other users

14. Dispute Resolution

14.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us and attempt to resolve any dispute informally for at least 30 days.

14.2 Binding Arbitration

Any dispute that cannot be resolved informally shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in San Francisco, California.

14.3 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES WITH US ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS-WIDE ARBITRATION.

14.4 Exceptions

Either party may seek injunctive relief in any court of competent jurisdiction for violations of intellectual property rights.

14.5 Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.

15. Termination

15.1 By You

You may close your account at any time by contacting support. You remain responsible for any outstanding obligations.

15.2 By Us

We may suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination:

• Your access to the Platform will be revoked
• Pending escrow funds will be handled according to our policies
• You may request withdrawal of available balance (minus any amounts owed)

15.3 Survival

Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect.

Your continued use of the Platform after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform.
